AFFILIATE PROGRAM AGREEMENT

Affiliate Agreement 
The following are the terms and conditions of participating in the RLM Arts Affiliate Program. "Affiliate" refers to your or your organization, and "RLM Arts" refers to Ricardo Levins Morales, dba RLM Arts, located at 3745 Minnehaha Ave. S., Minneapolis, MN 55406.

Payments and Commissions
RLM Arts will pay the Affiliate a 10% commission of each RLM Arts follow-up sale which is identified as coming from a visitor from Affiliate's web site using their unique Affiliate Link. In addition, RLM Arts will pay the Affiliate a 10% commission for all SUBSEQUENT purchases made by that same visitor for a period lasting twelve (12) months from the date of their first purchase (as long as that first purchase was placed within 30 days of their initial visit). Affiliate commission shall be paid whenever the accumulated commission amount reaches $50. All payments will be made in U.S. dollars. If a qualifying sale is canceled or refunded, the related commission will be deducted from the next monthly payment.

Independent Relationship
Affiliates are NOT employees of RLM Arts and are responsible for their own local, state, or country taxes. Affiliate applications are subject to approval by RLM Arts. Both RLM Arts and the Affiliate reserve the right to terminate this agreement at any time. If canceled, outstanding commissions will be paid to the Affiliate after a reasonable time elapse to capture any order cancellations or refunds.

Affiliate Link 
You will be issued an "Affiliate Link", or unique URL, which allows RLM Arts to identify visitors from your site as originating there. This URL will be embedded in the RLM art images and/or descriptive text or banner so that visitors may be directed to the RLM Arts web site. These visitors are tracked with this unique URL and sales are credited to your Affiliate Id. To receive commissions, you must use the provided Affiliate Link. The URL may be embedded in various formats such as a banner, image, or text link.

Public Representation 
Affiliate shall not misrepresent RLM Arts products or services. Affiliate is solely responsible for insuring that their Affiliate Link is setup properly to qualify for commissions.  Affiliate agrees to not send unsolicited mail or SPAM mail to promote RLM Arts products. This action WILL RESULT in immediate termination of your account with a cancellation of any pending commissions.

Prohibited Sites
Sites that are deemed to be demeaning, exploitative or harmful will not be approved as Affiliates and are not eligible to be so. Sites that promote discrimination based on race, sex, religion, national origin, gender, sexual preference and physical disability, shall not be accepted. Sites that are amalgams of commercial links and have no intrinsic content of their own will likewise not be approved. Do not apply if your site promotes these kinds of values. By applying, you are representing that your Site does not promote or endorse these values.

Term of Agreement
This agreement remains in affect until canceled by either party. Commissions earned through the date of expiration or cancellation of this agreement will remain payable as long as the qualifying sales are not canceled or refunded by the referred Customers. Payment of the final Commission payment to the Affiliate may be withheld for a reasonable time in order to capture any refunds or cancellations, thus ensuring that the correct amount is paid.

Privacy 
To protect RLM Arts customer privacy, we cannot provide you with identifying customer names and contact information given to us by a customer. Customers must provide that information to you directly and voluntarily for you to have access to it. We will, however, provide an online report detailing price, date of sale, and perhaps other data for your records.

Scope of Agreement
This agreement applies to products ordered online from the RLM Arts web site. It does not apply to services such as commissioned artwork, exhibitions or speaking engagements which may be offered by RLM Arts. RLM Arts cannot similarly track sales that may be made in a direct retail setting such as at a conference, festival or in our studio retail store.  

Independent Contractor 
The relationship between RLM Arts and Affiliate established by this Agreement is that of independent contractors. RLM Arts and Affiliate shall each conduct its respective business at its own initiative, responsibility and expense, and shall have no authority to incur any obligations on behalf of the other, except as otherwise provided herein. Term "Affiliate" shall not be interpreted as a legal partner or company affiliate or branch, simply as an independent party to an agreement with RLM Arts.

Limitation of Damages 
RLM Arts shall not be held liability for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or with respect to this agreement or program, even if RLM Arts has been advised of the possibility of such damages. RLM Arts aggregate liability arising under or with respect to this agreement or the program shall in no event exceed the total commissions paid or payable by RLM Arts under this agreement.

Accounting and Data Tracking
RLM Arts will track and pay commissions for all sales that apply to Affiliate and will maintain appropriate software and accounting practices to so do. The Affiliate will be able to log on to their account to monitor the level of sales generated by their referrals. 

Governing Law 
This agreement shall be governed by the laws of the State of Minnesota and the United States.
